Emera and Canadian Utilities Merge to Form $72 Billion Energy Powerhouse

Emera Inc. and Canadian Utilities Ltd. have announced an all-stock merger, creating a $72 billion utility entity that aims to meet rising energy demands across North America.

CALGARY, ALTA. — Emera Inc. and Canadian Utilities Ltd. have entered into an all-stock merger agreement, resulting in the formation of a significant energy utility valued at $72 billion. This merger positions the new entity as one of the largest utilities in North America. The deal unites Emera, a Halifax-based utility with operations extending into the United States and the Caribbean, with Calgary-based Canadian Utilities, which has a presence in Canada’s North, Mexico, Australia, and Puerto Rico.
Scott Balfour, the CEO of Emera, emphasized the strategic importance of this merger, stating, "As demand rises from electrification trends and major infrastructure development, the combined company will be better positioned to help meet growing energy needs and power Canada’s growth ambitions."
According to the terms of the merger, Emera will acquire Canadian Utilities and Atco Ltd., which currently holds a controlling stake in Canadian Utilities. In a notable restructuring, Atco’s industrial services division will be separated and established as a new public company, which will be managed by Atco’s CEO, Nancy Southern.
Southern commented on the merger, highlighting the benefits of the new entity, "The combined Emera/Canadian Utilities company will have the scale, capabilities and capital to invest in critical energy and infrastructure projects that support growing demand, while New Atco will be positioned to accelerate growth in housing, defence and industrial services."
The merger is expected to enhance the operational capabilities of the new utility, which will retain the Emera name while maintaining the corporate headquarters of Canadian Utilities in Calgary and Edmonton. Existing shareholders of Emera are projected to own approximately 60 percent of the newly formed utility, while shareholders from Atco and Canadian Utilities are expected to possess about 40 percent.
This consolidation within the utility sector is anticipated to create a stronger entity capable of addressing the increasing energy demands spurred by economic growth and infrastructure development. Both companies are aiming to leverage their combined strengths to explore new opportunities that arise from the growing focus on energy security and resilience in the market, thereby creating long-term value for both shareholders and Canadians overall.
